Welcome to Shugo. These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications (collectively, the "Services") provided by Shugo LLC, a Delaware limited liability company ("Shugo," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Services Overview

Shugo provides decentralized distributed denial-of-service (DDoS) protection and cybersecurity services through our TensorProx platform, leveraging decentralized physical infrastructure networks (DePIN) built on the Bittensor protocol.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using our Services under applicable laws
• Not be located in a jurisdiction where our Services are prohibited

3. Account Registration

To access certain services of our Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use of your account

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in any illegal, fraudulent, or harmful activities

Our Services are billed according to the pricing structure displayed on our website or as agreed upon in your service agreement. Prices are subject to change with reasonable notice.

6.2 Payment Terms

• Fees are billed in advance or based on usage, depending on your plan
• All fees are non-refundable unless otherwise specified
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination of Services

7. Intellectual Property

All intellectual property rights in our Services, including software, trademarks, logos, and content, remain the exclusive property of Shugo or our licensors. You are granted a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms.

8. Data and Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our Services, you consent to our data practices as described in the Privacy Policy.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHUGO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the amounts paid by you to Shugo during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Shugo and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit through our Services

12. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use our Services will immediately cease
• You remain liable for any outstanding fees
• Provisions that by their nature should survive termination will survive

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of our Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes acceptance of the updated Terms.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shugo regarding our Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
